II- FRAMEWORK AGREEMENT, Clause 2.3, Page 60 The Contract is concluded for a period of 36 months with effect from the date on which it enters into force. This Contract period and all other periods specified in the Contract are calculated in calendar days unless otherwise indicated. The RFP states a 24-month service/Contract period with extension by mutual consent, while the Framework Agreement states 36 months and permits Specific Work Orders to continue after expiry and be executed up to six months thereafter. We request to kindly confirm the definitive Framework Agreement term and the final long-stop date for all Specific Work Orders, with any extension subject to mutual written agreement. The Contract period will be 18 months extendable upto 24 months. Please refer the Corrigendum – I. 2. Section II- Framework Agreement, Page 60 General Kindly clarify if there are any mandatory deliverables, templates, minimum number of workshops, or knowledge products expected under the Framework Agreement itself. The expected number of Specific Work Orders is not defined and will be issued as per the requirements assessed during the contract period. | Page 2 S. GCC 30.1-30.2, Page 78 - Substitution of Key Experts “Except as the Client may otherwise agree in writing, no changes shall be made in the Key Experts. Notwithstanding the above, the substitution of Key Experts during Contract execution may be considered only based on the Consultant’s written request and due to circumstances outside the reasonable control of the Consultant, including but not limited to death or medical incapacity. In such case, the Consultant shall forthwith provide as a replacement, a person of equivalent or better qualifications and experience, and at the same rate of remuneration.” We request the Client to kindly broaden the grounds for substitution to include resignation, retirement, prolonged illness, internal transfer, long-term unavailability, visa constraints, conflict of interest, performance fit, force majeure, or other circumstances beyond the Consultant’s reasonable control, subject to Client approval and an equivalent or better replacement at the same remuneration rate. GCC 27.1, Page 77 - Proprietary rights “Unless otherwise indicated in the SCC, all reports and relevant data and information such as maps, diagrams, plans, databases, other documents and software, supporting records or material compiled or prepared by the Consultant for the Client in the course of the Services shall be confidential and become and remain the absolute property of the Client. The Consultant shall, not later than upon termination or expiration of the Contract, deliver all such documents to the Client, together with a detailed inventory thereof. The Consultant may retain a copy of such documents, data and/or software but shall not use the same for purposes unrelated to the Contract without prior written approval of the Client.” We agree that assignment- specific deliverables shall vest with the Client. However, we request confirmation that the Consultant retains ownership of pre-existing intellectual property, tools, templates, methodologies, frameworks, know-how, and working papers, with appropriate Client use rights for elements embedded in deliverables. ITC 14.1.2, Page 18 - Key Expert time input “Estimated input of Key Experts’ time-input: As mentioned in Terms of Reference. International Experts Senior Expert – 120 days. National Experts Senior Expert – 240 days. Expert – 240 days. Total – 600 days in a duration of 2 years.” Kindly confirm whether 600 person-days are aggregate for all 15 Key Experts or applicable to each category/position, and whether they are minimum committed inputs or indicative ceilings subject to Work Orders. Section III, Note (b), Page 23 - EOI-stage Expert list “The CVs will be from the list of those Experts submitted at the EOI stage.” We understand that the EOI stage permitted replacement of an expert at the RFP stage with an expert having equivalent or better qualifications and experience. Accordingly, kindly confirm whether bidders may propose alternate CVs at the RFP stage that meet the prescribed qualification and experience criteria, even if such experts were not included in the list submitted at the EOI stage. Please also clarify whether more than one CV may be proposed for each position. Alternate CVs at the RFP stage that meet the prescribed qualification, and experience criteria will be allowed with an expert having equivalent or better qualifications and experience. Only one CV may be proposed for each position. 7. Section III, Team “International & National Senior Expert with Minimum Kindly confirm whether the identical 15-year threshold for Yes, 15-year threshold for International and National Senior Experts is required.
