SECTION 1: PROCUREMENT OVERVIEW & SCOPE OF SERVICES

1.1 Purpose & VOR Framework The Toronto Lands Corporation (TLC), acting as agent for the Toronto District School Board (TDSB), invites electronic bid submissions from qualified real estate appraisal firms ("Proponents" / "Bidders") to establish a Vendor of Record (VOR) roster. The TLC intends to select three to five (3–5) qualified firms to provide professional real estate appraisal and consulting services on an "as, if, and when required" non-exclusive basis for TDSB sites or properties of potential interest.

Initial Contract Term: The initial contract term is twenty-four (24) months from the date of contract execution.

Extension Options: TLC holds the sole discretion to exercise up to three (3) additional twelve (12) month extension options.

VOR Framework: VOR arrangements are established through requests for bids, followed by a transparent and competitive procurement process. Bidders who successfully meet all requirements and execute a master agreement are awarded VOR status, allowing TLC and TDSB to procure essential professional services in a shorter timeframe than initiating a new procurement process from scratch. 1.2 Toronto Lands Corporation (TLC) Mandate & Operational Background TLC’s primary function is to provide services relating to the property and asset management of certain TDSB properties, as well as project management of capital and other projects as required. These services include identifying best practices for the operation, maintenance, management, and, where applicable, the redevelopment and/or disposition of assets. The TLC is authorized to propose parameters to be adhered to in the disposition or analysis of TDSB properties or properties that may be of potential interest to the TDSB. Such parameters include due diligence activities that are recognized as the norm within the marketplace and are required to substantiate an estimate of market value. In order to carry out its statutory obligations, TLC needs to retain the services of real estate appraisal firms with relevant experience evaluating land and the value of improvements of the Board’s properties as it relates to the feasibility of potential projects (acquisition, disposition, leasing). Appraisers must be thoroughly aware of the condition of TDSB’s assets and any impact on potential disposition, which may require: Preparation of multiple complex valuation reports; Attendance and active participation at various stakeholder and municipal meetings; Participation in City Planning, Ontario Land Tribunal (OLT/OMB), or other administrative tribunal hearings; and Provision of expert witness testimony in legal, arbitration, or tribunal settings.

SECTION 2: SCOPE OF WORK & DELIVERABLES

All appraisal assignments must comply with the Canadian Uniform Standards of Professional Appraisal Practice (CUSPAP) as outlined by the Appraisal Institute of Canada (AIC). Valuation Services: Assignments may include fee simple valuations, partial takings, value-in-contribution, leasehold valuations, easements, market rent analyses, land exchanges, and expropriation valuations. Consulting & Analysis: Bidders may be required to conduct highest and best use studies, financial impact analyses regarding restrictive covenants or zoning, and evaluations related to official plan amendments and the Planning Act. Collaboration & Representation: Proponents must be prepared to attend and present at court, mediations, arbitrations, Ontario Land Tribunal (OLT/OMB) hearings, or municipal planning hearings, potentially providing expert witness testimony. Bidders will also collaborate with inside and outside legal counsel, municipal planners, real estate brokers, and secondary consultants. Project Workflow: Typical assignments require a firm quotation prior to commencement, followed by an initial draft report, three to four (3-4) review teleconferences, an in-person meeting with stakeholders, and a final independent report. The expected turnaround time for assignments is four to six (4-6) weeks. Information Sharing: Completed reports may be shared with other consultants, third-party potential purchasers for information purposes, and may be subject to public disclosure under freedom of information legislation.

Proponents must meet all mandatory criteria outlined below to be eligible for evaluation.
