Adani Power Limited including it ’s subsidiaries (hereinafter referred to as ‘ APL’) is Company incorporated under the Companies Act, 2013 and is engaged in business of, inter-alia, thermal power generation. APL invites ‘sealed bids’ from qualified and eligible Bidders for the Sale of Ash/Reimbursement of Transport Subsidy from all Thermal Power Plants (TPPs) listed below, in accordance with Bidding Document No. APL/2025-26/ASH/TENDER-01 dated 09.01.2026.

For purpose of this tender, APL comprises a portfolio of thermal power plants and its subsidiaries, including APL Mundra TPP, APL Kawai TPP, APL Udupi TPP, APL Raipur TPP, APL Raigarh TPP, Mahan Energen Ltd.(MEL) - Mahan TPP, APL Godda TPP, Korba Power Limited (KPL) – Korba TPP, Moxie Power Generation Limited (MPGL) – Thoothukudi TPP , APL Dahanu TPP, Vidarbha Industries Power Limited (VIPL) – Butibori TPP and APL Tirora TPP.

In this tender wherever phrase ‘Ash’ has been used the same includes both fly ash as well as bottom ash generated from the APL’s mentioned Thermal Power Plants. BRIEF OVERVIEW OF APL:

APL, a part of the diversified Adani Group, is the largest private thermal power producer in India. The company operates an installed thermal power capacity of 18,110 MW spread across 12 power plants in Gujarat, Maharashtra, Karnataka, Rajasthan, Chhattisgarh, Madhya Pradesh, Jharkhand, and Tamil Nadu, apart from a 40 MW solar power plant in Gujarat. Preamble:

APL intends to Sell the entire Ash generated from it’s Thermal Power Plants as listed in Table -1 on ‘As-is-where-is’ basis from the ‘Delivery Point’ to comply with all MOEF&CC and MOP norms. The annual quantity of Ash generation may vary depending on the actual power generation across APL’s TPPs. 1.0 SCOPE OF WORK The Successful Bidder shall become eligible to Purchase 100% quantity of generated Ash of the TPP’s as listed in Table -1 as per the guidelines of MoEF&CC and MoP on ‘As-is-where-is’ basis from the ‘Delivery Point’. The estimated Ash generation for FY’27 is 19.26 Million Metric Tons. The annual Ash quantity may vary depending on the actual power generation across APL’s TPPs. APL shall communicate the schedule of quantities of Ash available for Sale for each TPP to the Successful Bidder at the beginning of every quarter throughout the Agreement Term, in accordance with Articles 3 and 4 of the Draft Agreements for Sale of Ash/Reimbursement of Transport Subsidy. Upon taking custody/transfer of title of Ash from ‘Delivery Point’ within TPP s, the Successful Bidder must comply with the standards and specifications outlined in Exhibit 9 of the Instructions to Bidders (ITBs), which incorporate relevant notifications and guidelines issued by the Ministry of Environment, Forest and Climate Change (MoEF&CC) and the Ministry of Power (MoP), as applicable. The Sale of Ash /Reimbursement of Transport Subsidy agreement shall be valid for a period of Three (3) years from the Commencement Date , which may be extended further on mutually agreed basis. 2.0 BID QUALIFICATION REQUIREMENTS The Interested Bidder shall meet the Qualifying Requirements (QR) for Financial Capacity (Clause 2.1) and Technical Capacity (Clause 2.2) and shall also note the stipulation of Clause 2.3

2.1 QR for Financial Capacity:

a) Net worth: Bidder shall have a minimum Net Worth of INR 75,00,00,000 (Indian

Rupees Seventy-Five Crores Only) in the preceding Financial Year i.e., 2024-25.
