Closed ATM View - SRC000157 ASIC is proposing to initiate a Standing Offer Arrangement to establish a Panel of providers who have the necessary skills and capacity to act as process servers as and when required by ASIC. The services to be offered in each Response will be comprised of the following six Required Capabilities: 1.Service - Ability to service nominated ASIC locations 2.Service - Ability to serve documents to remote locations 3.Service - Ability to serve documents outside normal business hours 4.Technical - Ability to meet ASIC’s security requirements 5.Technical - Ability to meet ASIC’s cyber security requirements 6.Capacity - Ability to meet service level, payment, reporting and nominated representative requirements. These Required Capabilities are detailed below and in Part 3 of the CCS DoSO ATM Response Form. Suppliers must respond to all Required Capabilities. Under the proposed Standing Offer Arrangement: o ASIC will not be obliged to purchase any of the services from any Panel member or to purchase any specific volume of the services from any Panel member, but will reserve the right to purchase such volume of the services as may be required by ASIC during the term of the proposed Standing Offer Arrangement; and o ASIC may at any time purchase services the same as, or similar to, those offered by any Panel Member, from any other person, on such terms and conditions as ASIC wishes. ASIC makes no representation and gives no warranty as to the scope of work which may be made available to the Panel or individual Panellists, but advises that ASIC historically has utilised the services of external process servers on an average of 366 separate instances per annum, with a total average cost in the past of about $58,000 (plus GST) per annum although this is not a representation or warranty of expected future expenditure under this new Panel. The evaluation criteria will be based on Capability, Capacity, and Price: Capability (Required Capabilities 1-5) – 60% Extent to which a quote meets ASIC’s Requirement set out in the ATM. The weighting of the capability criteria will be allocated among the first five Required Capabilities outlined in the ATM: Service Capability 1 – Ability to service nominated ASIC locations = 30% Capability 2 – Ability to serve documents to remote locations = 5% Capability 3 – Ability to serve documents outside normal business hours = 5% Technical Capability 4 - Ability to meet ASIC’s protective security clearance requirement for access = 10% Capability 5 - Ability to meet ASIC’s cyber security requirements = 10% Capacity (Required Capability 6) – 30% Extent to which a response demonstrates a Supplier’s agreement to meet the Service Level, Payment, Reporting and Nominated Representative requirements. Price – 10% Extent to which a quote demonstrates value for money. Suppliers are required to provide pricing for Required Capabilities 1, 2 and 3. ASIC has the right to exclude a Supplier from further consideration if there are major risks identified to ASIC in the Supplier's ATM Response. This is separate from the evaluation criteria and is further outlined below. A Suppliers risk profile is assessed on any risks:

• inherent in a Response and its proposed solution to the requirement
• in the Supplier's financial viability
• in any actual or perceived conflict of interest
• in the level of compliance with the ATM including the Draft Form of Contract
• identified in the Supplier's Response relating to Cyber and Protective Security requirements
• in the level of insurance proposed by the Response
• any other risk that may arise.

ASIC may at any time exclude a tender if the tender:

• doesn’t comply with the conditions of participation
• is incomplete
• raises unacceptable risks to ASIC
• is rated unsatisfactory to provide the services required
• does not comply with the non-negotiable DoSO contract terms.

This Standing Offer Arrangement, once established, may, at the discretion of ASIC during the term of the Arrangement, be re-opened for a specified time to allow for non-members to apply to join it or for members to apply to provide additional Services as specified by ASIC. In either case, the process for evaluation including the evaluation criteria will be the same as in this ATM. ASIC will exclude a Response from further consideration if at any time before a Deed of Standing Offer is executed the Supplier does not provide: a) a Valid and Satisfactory Statement of Tax Record by the Closing Time, or b) a receipt demonstrating that a Statement of Tax Record has been requested from the Australian Taxation Office by the Closing Time; In any case, the Customer will exclude a Response from further consideration unless the Supplier has provided all required Valid and Satisfactory Statements of Tax Record no later than 4 business days from the Closing Time and before the award of any contract, whichever is earlier, refer https://www.ato.gov.au/Business/Bus/Statement-of-tax-record/ for more information. The Supplier’s Response must include a completed Foreign Ownership, Control or Influence (FOCI) Information Questionnaire - DTA Assessment Template (Tender Submission Stage, attached to this ATM as Annex A). Ongoing for the duration of the Panel period. Panel initial duration 3 years, with two options to extend for a period of two (2) years each.
